R. Shawn McBride recently spoke about what a corporate lawyer does.
Hey folks, here is a common question I get at my practice when I’m working with my legal clients. What does a corporate lawyer really do? We all know corporate lawyers are expensive to the outside and they cost a lot of money and they often bill by the hour or project and numbers tend to be large. But what do they really do? What is a lawyer doing for you when they’re doing corporate law?
Well, part of it is filling at forms. We know that there’s a certificate of formation, certificate of corporation, other documents that are basically filed with the state when a company’s formed. And then there are other documents that go into your files. Now one thing is while you can find most of those documents on the internet it’s very hard to find good guides to tell you which documents to fill out, what to add or delete and what are documents end and to make sure you have a complete comprehensive checklist.
I’ve seen many companies that have been formed by accountants even by lawyers and certainly by clients themselves where they’ve forgotten key documents and it hurts their liability protection, which leads to what the lawyer is really doing for you if the lawyers doing their job. They’re looking forward and anticipating potential problems. They’re trying to find ways to anticipate what might happen in the life of your business or transaction and building catchalls in there to protect you and your business. So a good corporate lawyer has their eye way ahead looking to what potentially might crop up.
What could go wrong and how do we protect things? So it’s something that you want to look at to make sure you’ve got somebody on your team who has the knowledge and experience who can help you put things in the right order to express what you intend in a legally sufficient manner but they can also look to the future and anticipate potential problems.
